TERMS OF SERVICE

1. Introduction

Welcome to Creator Square ("Company", "we", "us", "our"). These Terms of Service ("Terms") govern your access and use of the Creator Square platform and all associated services ("Service").

By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree, you must stop using the Service immediately.

3. User Types

Creator Square provides access to multiple categories of users:

• Creators: Individuals or businesses selling digital products, communities, coaching, courses, etc.
• Students / Customers: Users who purchase and access Creator content.
• Affiliates: Users promoting Creator products and earning commissions via referrals.

All users agree to these Terms.

4. Description of the Service

Creator Square allows Creators to:

• build link pages (Link-in-bio),
• host video courses, ebooks, and PDFs,
• create paid communities (on-platform or via Telegram, Discord),
• offer coaching, consulting, and appointment booking (including Google Meet links),
• create sales pages and funnels,
• send email campaigns, create segments, build automated email sequences,
• recover abandoned carts,
• run and manage an affiliate program for their products.

Students can log in to their personal space to access purchased content.

Affiliates can log in to an affiliate dashboard to track referrals, commissions, payouts, and performance statistics.

5. Plans & Pricing

Creator Square offers the following plans:

• Pro Plan – $29/month
• Business Plan – $99/month

All plans include the same features.

We may update pricing with notice.

6. Payments & Stripe Connect

Payments for Creator products are processed through Stripe, using Stripe Connect.

• Creators must connect their own Stripe account.
• We automatically deduct the applicable platform commission from each sale.
• Affiliates may receive payouts depending on the Creator's affiliate settings.
• We do not store or process full payment card details.

Stripe handles all payment, payout, and compliance processes.

7. Refunds & Fees

The following rules apply to refunds and transaction fees:

• Commission Refunds: If a Creator issues a refund to a Student, Creator Square will refund the platform commission previously deducted from that sale back to the Creator.
• Management: Refunds are managed directly by the Creator through the platform or their Stripe dashboard. Creator Square is not responsible for issuing refunds to Students.
• Transaction Fees: External payment processing fees (e.g., Stripe processing fees) are generally not refundable by the payment provider and remain the responsibility of the Creator.
• Disputes: Any chargebacks or payment disputes are the sole responsibility of the Creator and the Student.

8. Acceptable Use

Users must not upload, sell, or distribute:

• illegal content,
• copyrighted or stolen material,
• harmful, hateful, violent, or malicious content,
• malware or attempts to disrupt the Service,
• spam or misleading advertising (especially for affiliates).

We may suspend or terminate accounts violating these rules.

9. Student Access

Students gain access to:

• purchased courses, PDFs, ebooks, communities,
• a secure student dashboard,
• purchased content for the duration defined by the Creator.

Creator Square is not liable for:

• course quality,
• Creator claims or promises,
• Creator refund policies (managed directly by Creators).

10. Affiliate Dashboard

Affiliates have access to:

• referral links,
• visits, clicks, and conversion analytics,
• commission earnings and payout history.

Affiliates must comply with:

• anti-spam rules,
• truthful advertising,
• applicable advertising laws.

We may suspend or terminate affiliate access in case of abuse.

10.1. Creator Square Referral Program (platform affiliation)

Creator Square offers a referral program for recommending platform subscriptions. Referred customers may receive an affiliate promo code granting a 10% discount, applicable only to the first month of a monthly subscription. This discount does not apply to annual subscriptions (already offered with a 20% discount). The partner earns a recurring 20% commission (excluding taxes) on subscriptions made through their link or code, on the initial payment and each renewal, for as long as the subscriber remains continuously active. Commission rate may increase according to affiliate tiers displayed in the dashboard.

By checking the box to accept these Terms and joining the program, the partner agrees to these rules. To get paid, the partner issues a commission invoice in PDF format addressed to Creator Square LLC and sends it, together with a screenshot of their balance, to contact@creatorsquare.io. Creator Square pays the partner as soon as possible upon receipt. The minimum payout is $50. Payment is not automatic: no invoice means no payout.

To claim their commission, the partner sends their invoice and balance screenshot as per the program page instructions.

11. Intellectual Property

All platform code, branding, and technology remain the exclusive property of Creator Square LLC.

Creators retain ownership of their content, but grant us a non-exclusive license to store and display it solely for platform operation.

12. Termination

We may suspend or terminate accounts for:

• violation of these Terms,
• fraudulent activity,
• abuse or misuse of the Service.

You may delete your account at any time.

13. Disclaimers

The Service is provided "as is".

We do not guarantee:

• revenue or results,
• uninterrupted or error-free operation,
• compatibility with all devices and browsers.

14. Limitation of Liability (outages, bugs, financial losses)

To the extent permitted by applicable law, Creator Square shall not be liable for indirect, immaterial, or consequential damages, including but not limited to: loss of revenue, loss of profits, loss of clientele, damage to reputation, or any loss of commercial opportunity suffered by the Creator or their end customers.

Creator Square's total liability, for all causes combined, is strictly limited to the total amount actually paid by the Creator to Creator Square during the twelve (12) months preceding the event giving rise to the claim.

15. Service Availability

The Service is provided "as is" and "as available". Creator Square strives to ensure continuous availability of the platform but does not guarantee uninterrupted or error-free access.

Temporary interruptions may occur, particularly due to maintenance, updates, technical constraints, or incidents beyond our control (hosting provider, cloud provider, network, etc.).

16. Data, Backups & Data Loss

Creator Square implements reasonable security measures to protect data hosted on the platform. However, the Creator acknowledges that information systems are not free from risks (outages, cyberattacks, technical incidents).

The Creator remains responsible for backing up their content and data. Creator Square does not guarantee the complete absence of data loss and shall not be liable for damages resulting from data loss or alteration, except in cases of gross negligence or willful misconduct.

17. Security & Cyber Incidents

Creator Square implements reasonable technical and organizational security measures to protect the platform and data.

In the event of a security incident or data breach, Creator Square commits to informing affected users under the conditions provided by applicable regulations (notably GDPR).

18. Payments via Stripe (technical intermediary role)

End customer payments are processed by Stripe, a third-party payment service provider.

Creator Square acts as a technical intermediary for connection and platform provision and shall not be held liable for malfunctions, payment delays, transaction refusals, account suspensions, or incidents attributable to the payment provider.

The Creator is solely responsible for their contractual relationship with Stripe as well as compliance with this provider's terms of use.

19. Creator Content

Content (courses, videos, texts, files, communities, etc.) published by Creators is their sole responsibility.

Creator Square exercises no prior editorial control and shall not be held liable for content uploaded by Creators or for the use made of it by end customers.

20. Force Majeure & Third-Party Providers

Creator Square shall not be held liable for delays or inability to perform the Service due to force majeure or events beyond its control, including but not limited to: cloud provider outage, hosting provider outage, payment provider outage, network service provider outage, or external cyberattack.

21. No Results Guarantee

Creator Square does not guarantee any level of sales, revenue, commercial performance, or profitability for Creators using the platform.

The success of offerings depends notably on content quality, the Creator's marketing strategy, and external factors independent of Creator Square.

22. Governing Law

These Terms are governed by the laws of the State of Wyoming and applicable U.S. federal laws.

23. Prohibited Businesses (Stripe Policy)

As we use Stripe for payment processing, we cannot support businesses that fall under Stripe's prohibited and restricted businesses list. This includes, but is not limited to:

• Illegal products and services (drugs, fake IDs, etc.)
• Adult content and services (pornography, adult services, etc.)
• Certain financial services (debt relief, check cashing, shell banks, etc.)
• Gambling (casinos, lotteries, betting, etc.)
• Illegal weapons and explosives
• Intellectual property infringement (counterfeit goods, unauthorized distribution)
• Marijuana and related businesses
• Deceptive or abusive practices (pyramid schemes, "get rich quick" schemes)
• Certain regulated industries (pharmaceuticals, tobacco, etc.)
